Terms of Use

valicon.ai is a hosted data-room and investor-analytics platform. By creating an account you agree to these Terms of Use (the "Terms") and our handling of your data as described below.

You must provide accurate registration details and keep your password secure. You are responsible for everything that happens under your account, including any actions taken by team members you invite.

We may suspend accounts that violate these Terms or applicable law, or that are being used to host content we are required to remove.

You retain full ownership of every file, deck, image, NDA, and block you upload (collectively, "Your Content"). You grant valicon.ai a limited, worldwide, royalty-free licence to host, transmit, render, watermark, and analyse Your Content solely to operate the service for you and the investors you invite.

You are responsible for having the rights to the content you upload and for obtaining the consents required to share it with the investors you invite.

The valicon.ai operations team can view (read-only) the contents of your data room. This access is used to provide product support, investigate abuse reports, improve the service, and respond to law-enforcement requests where legally required. Specifically, valicon.ai operators:

• Cannot upload, modify, rename, or delete Your Content.
• Cannot send invites or messages on your behalf.
• Cannot impersonate you to investors.
• Will not share Your Content with third parties except as required by law or with your explicit written consent.

One exception: managed clients. A small number of clients sign a separate consulting agreement where the valicon.ai team builds and runs the data room on their behalf. In that agreement, the client explicitly authorises us in writing to upload files, send invites, edit branding, and otherwise act on their behalf. If you have not signed such an agreement, our access to your data room is read-only and the bullet points above apply without exception.

When you invite an investor and they open your data room, valicon.ai records: their email, IP address, approximate country, device + browser fingerprint, NDA signature with timestamp, every page / slide they view, dwell time, and downloads. This data is shown to you in your dashboard. We disclose this tracking to investors via the NDA they sign before entering the room.

Per-PDF watermarks (email + timestamp) are applied to every download.

You may not use valicon.ai to:

• Host illegal content or violate third-party rights.
• Send unsolicited bulk email or spam investors.
• Distribute malware or scan / probe our infrastructure.
• Reverse-engineer the service or scrape our pages.
• Host content involving minors, terrorism financing, or sanctioned parties.

We process personal data (yours, your team’s, and your investors’) under our privacy policy. We use third-party processors for email delivery (Resend), error tracking, and infrastructure hosting (Railway). All vendors are bound by data- processing agreements. We retain data while your account is active and for 90 days after deletion to satisfy backup and audit obligations.

EU users have rights of access, correction, deletion, and portability under GDPR. Contact hello@valicon.ai to exercise them.

Pricing is set out on our website at the time you sign up or upgrade and may include free, trial, and paid tiers. We reserve the right to change pricing, introduce new plans, or move features between tiers with at least 30 days’ notice; the version in effect when you signed up is the version we’ll charge until the notice period ends.

First-100 free Pro seats: the first 100 self-serve signups receive full Pro features at no cost while the campaign runs. We may end the campaign at any time with at least 30 days’ written notice (in-app announcement plus email); affected accounts revert to the Free plan or can upgrade to a paid Pro subscription. The free seat does not auto-convert to a paid subscription.

Referral rewards: each workspace receives a unique referral link. When a new workspace signs up via your link and upgrades to a paid Pro subscription, we credit one Pro month (US$39 at current pricing) to your Stripe customer balance - automatically applied to your next invoice. Rewards are not issued for referees who only claim a free first-100 Pro seat without paying. We may revise or end the program with 30 days’ notice; pending rewards in your Stripe balance at that time stay applied to your next invoice.

From time to time we may send platform-level announcements through the in-app notification bell and, when relevant and time-sensitive, a transactional email. These cover product changes, fundraising-cycle tips, roadshow recruitment, and similar operator-style content. Announcements may be filtered to a relevant subset of accounts based on the workspace profile you entered (purpose, stage, industry, country, raise band).

The email portion respects the “Product updates” toggle in Settings → Notifications. The in-app bell continues to show announcements that match your profile until you archive them. Always-on transactional emails (verification, password reset, invites you send to investors, billing receipts) cannot be disabled because they are required for the service to function.

We aim for high availability but do not guarantee any specific uptime. Scheduled maintenance, outages, and force-majeure events may cause brief interruptions. We are not liable for indirect, consequential, or revenue-related losses.

You can delete your account at any time from Settings. We can terminate accounts that violate these Terms, give 30 days’ notice for unilateral termination, and export Your Content on request before deletion.

We may update these Terms. Material changes are emailed to active account holders and posted at the top of this page at least 14 days before they take effect. Continued use after that date counts as acceptance.

These Terms are governed by the laws of Germany. Any dispute will be resolved by the competent German courts at the registered seat of the proprietor.
